Terms of Service

1. Service Description

Godwit Sync ("the Service") is a command-line data migration and synchronization tool for S3-compatible object storage systems. The Service enables users to plan, execute, and monitor data transfers between storage endpoints.

The Service is provided as downloadable software that runs on your infrastructure. Godwit Sync does not host, store, or process your data on our servers unless explicitly configured by you.

2. License to Use

Subject to your compliance with these Terms and payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Godwit Sync software for your internal business or personal purposes.

You may not:

• Sublicense, sell, resell, or transfer the software to third parties
• Modify, reverse engineer, or create derivative works of the software
• Use the software to provide a competing service or product
• Remove or alter any proprietary notices or labels

3. Subscription and Billing

Access to Godwit Sync requires an active subscription. Subscriptions are available on monthly or yearly billing cycles.

• Monthly subscriptions are billed at the beginning of each monthly period and may be canceled at any time.
• Yearly subscriptions are billed at the beginning of the annual period.

All fees are non-refundable except as required by law or as explicitly stated in these Terms. We reserve the right to modify pricing with 30 days' notice.

4. Acceptable Use

You agree to use Godwit Sync only for lawful purposes. You may not:

• Use the Service to transfer data you do not have rights to access or move
• Attempt to circumvent license validation or usage restrictions
• Use the Service in a manner that could damage, disable, or impair third-party systems
• Redistribute, share, or publish license keys or credentials

5. Website Analytics

Our website uses Plausible Analytics, a privacy-friendly analytics service, to understand aggregate usage of our marketing pages. Plausible does not use cookies, does not collect personal data, and does not track visitors across websites or over time.

The service captures anonymized, aggregated metrics only (such as page views, referrers, and country-level geolocation derived from IP address without storing the IP). No data collected by Plausible can be used to identify you. See Plausible's Data Policy for details.

This analytics usage applies solely to our public website (godwit.io). The Godwit Sync software itself does not contain analytics or telemetry.

6. Availability

Godwit Sync is provided as downloadable software. We aim to maintain availability of download servers and license validation services, but do not guarantee uninterrupted access.

The Service may be temporarily unavailable for maintenance, updates, or circumstances beyond our control. We are not liable for any interruption or delay.

7. Limitation of Liability

To the maximum extent permitted by law, Godwit Sync and its affiliates shall not be liable for:

• Any indirect, incidental, special, or consequential damages
• Loss of data, revenue, profits, or business opportunities
• Damages arising from your use or inability to use the Service
• Damages arising from unauthorized access to your data or systems

Our total liability for any claims arising from these Terms or your use of the Service shall not exceed the amount you paid for the Service in the 12 months preceding the claim.

8. No Warranty

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will meet your requirements, be uninterrupted, secure, or error-free, or that any defects will be corrected.

9. Termination

You may terminate your subscription at any time through your account settings. Termination takes effect at the end of your current billing period.

We may suspend or terminate your access to the Service immediately if you breach these Terms, fail to pay applicable fees, or engage in conduct that we determine is harmful to other users or our systems.

Upon termination, your license to use the software ends, and you must cease using and delete all copies of the software.

10. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and updating the "Last updated" date. Your continued use of the Service after changes become effective constitutes acceptance of the revised Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of Portugal, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts of Portugal.
